Meshet Token Store — Terms and Conditions

1. Seller

The seller and service provider is Black Mamba System [razón social pendiente], tax ID [CIF pendiente], registered address [domicilio fiscal pendiente], Granada, España (“Black Mamba System”, “we”), owner of the Meshet project. Contact: info@blackmambasystem.com · +34 686 522 038.

2. Scope and acceptance

These terms govern the purchase of Meshet tokens (in packs or as a custom amount) and the All AIs Plan subscription at meshet.com/token, the user account, access keys and the future use of IA Waca 3.5 from Meshet. You must expressly accept them by ticking the box when creating an account and when completing each purchase. We keep the accepted version with each purchase.

The Meshet software is free for individuals under its license. These terms also cover buying the Meshet license for companies and self-employed professionals (section 9).

3. What a Meshet token is

• A Meshet token is a unit of prepaid credit to use IA Waca 3.5 from your Meshet and other artificial intelligence services we offer within Meshet.
• It is not a cryptocurrency, a blockchain token, e-money, a financial instrument or an investment. It yields no return, does not appreciate and has no resale value.
• Tokens are personal and non-transferable: they may not be sold, assigned or exchanged for money between users, unless we expressly state otherwise in writing (e.g. for business accounts).
• They can only be used within Meshet services and are non-refundable except as set out in sections 12 and 13.

4. Presale

• The AI platform is currently in preparation. During the presale we sell tokens at a 30% discount on the planned price to fund the development and training of IA Waca 3.5 and its GPU infrastructure.
• You can buy packs or a custom amount from the list; in both cases tokens are calculated at the same presale rate. Purchased tokens are added to your account as soon as payment is confirmed; you can see the balance in “My account” and in the token wallet of your Meshet panel.
• They become redeemable when the platform launches. Estimated launch: [estimated date pending: e.g. Q2 2027]. This is an estimate and we will inform you by email of any relevant change.
• Launch guarantee: if the platform is not operational by [deadline pending: e.g. 31 Dec 2027], you may request a refund of 100% of the amount paid for unused tokens, via the same payment method, within 14 days of your request.
• Presale conditions (price and discount) are kept for tokens already purchased even if prices change later.

5. What the buyer gets

• The right to use IA Waca 3.5 from your Meshet until the balance is used up, once the platform launches.
• An account showing balance, purchases, invoices, access keys and your plan, and the ability to link your Meshet in one click from the token wallet in your panel.
• IA Waca 3.5 as the default artificial intelligence in your Meshet.
• It does not include any guaranteed level of availability, speed or answer quality beyond what is stated in the documentation in force at launch.

6. Token pricing, counting and consumption

IA Waca 3.5 is priced using as reference the official public rate of Z.ai GLM-4.6, converted to euros: €0.648 per million tokens of what you write to the AI and €2.38 per million tokens of what the AI answers, VAT included, before the presale discount. That is why each token of the answer uses 3.67 tokens of your balance and each token you write uses 1. One token is roughly ¾ of a word depending on the language. Your Meshet panel and “My account” show what you have spent and the balance is deducted instantly. If other services (e.g. images) use tokens at a different rate in the future, we will publish it before it applies. When the balance reaches zero, the AI stops answering until you top up.

7. Expiry

Tokens do not expire during the presale. After launch the following policy will apply: [expiry policy pending: e.g. 24 months from launch]. We will email you before any balance expires.

8. All AIs Plan (monthly subscription)

• IA Waca 3.5 requires no fee: anyone with a token balance can use it.
• The All AIs Plan costs €49.00 per month, VAT included, and lets you use from your Meshet panel every other artificial intelligence available in it. Some AIs from other companies may also require your own account with them, under their terms and prices, which are not included in the plan.
• It is charged in advance through Mollie (recurring payment with a mandate) and renews automatically every month on the same date until you cancel.
• You can cancel renewal at any time from “My account”; the plan stays active until the end of the period already paid and the unused part of the current month is not refunded, except as provided in section 12.
• If a recurring charge fails, the plan remains until the end of the paid period and then reverts to IA Waca 3.5 only.
• Any plan price change will be notified by email at least 30 days in advance and you may cancel before it applies.

9. Meshet license for companies and self-employed

• Downloading and using Meshet is free for individuals (personal, home, non-commercial use). Companies, self-employed professionals and other organisations using it in their business must first buy a business license, under the Meshet license.
• Price: one-time payment of €20.00 (includes the first employee) plus €1.00 for each additional employee, VAT included. For example, 10 employees = €29.00. Count everyone who works in your company or business, including you. The final price is always calculated by the store.
• What it includes: the right to use Meshet in your company, with no subscription or expiry, for up to the number of people purchased, including new versions we publish. You get an invoice and a certificate with the license number, and the download links stay in “My account”.
• Upgrades: if your team grows, upgrade the license from the store or “My account” paying only the difference (€1.00 per person). You must keep the license in line with the real number of people.
• To buy it you need an account with billing details of type “Company or self-employed”. The license is issued to that holder and may not be resold or transferred to another company.
• Integrating Meshet into products or services for third parties, redistributing it, or commissioning custom developments or your own AI requires a separate agreement: info@blackmambasystem.com · +34 686 522 038.
• Withdrawal: the license is bought for a business activity, so the consumer right of withdrawal does not apply (section 13). If you make a mistake when buying (e.g. the number of employees), write to us and we will look into it.
• If a license purchase is refunded, the license (or the upgrade) is cancelled.

10. Prices and VAT

Prices are shown in euros and include Spanish VAT at 21%, broken down in the order summary and on the invoice. This includes token packs, the All AIs Plan (€49.00/month) and the business license. Presale prices are provisional and may change for future purchases; the applicable price is the one shown when you confirm the purchase.

11. Payment

Payments are processed by Mollie B.V., an authorised payment institution. We never see or store your card or account details. For the All AIs Plan, Mollie stores a recurring payment mandate which is revoked when you cancel. A purchase is complete when Mollie confirms the payment to us; only then are tokens credited. If the payment fails or is cancelled, no credit is added and nothing is charged.

12. Invoices

Each purchase generates a full invoice with your billing details, which you can download from “My account”. Contact us if your tax details need correcting.

13. Right of withdrawal

• If you are a consumer, you may withdraw from the purchase within 14 calendar days without giving any reason (Directive 2011/83/EU; arts. 102 ff. of Spanish Royal Legislative Decree 1/2007).
• When buying you expressly request immediate crediting and acknowledge that, under art. 16(m) of Directive 2011/83/EU (art. 103(m) TRLGDCU), you lose the right of withdrawal for tokens you start to consume. As long as you consume no tokens (for example, throughout the presale) you keep your full right of withdrawal within the period.
• To exercise it, email info@blackmambasystem.com with your account email and invoice number, or use this model: “I hereby give notice that I withdraw from my contract for the purchase of Meshet tokens, invoice no. …, made on …, name and email …, date and signature (if sent on paper)”.
• We will refund the amount for unused tokens within 14 days, via the same payment method, and remove that balance from your account.
• Business license: as it is bought for a business activity, there is no consumer right of withdrawal (section 9).
• All AIs Plan: it is a service. When subscribing you expressly request that it start immediately; if you withdraw within 14 days of the initial subscription, we will refund the amount minus the part proportional to the service already provided (art. 14(3) Directive 2011/83/EU; art. 108 TRLGDCU). Subsequent monthly renewals do not open a new withdrawal period, but you can cancel renewal at any time.

14. Refunds

In addition to withdrawal, unused tokens are refunded: (a) if the platform has not launched by [deadline pending: e.g. 31 Dec 2027] (section 4); (b) if we permanently discontinue the service; (c) if we charged you by mistake. Otherwise tokens are non-refundable. Refunds are made via the same payment method and the corresponding balance is removed from the account.

15. Account, billing details and access keys

• You must provide a valid email and keep your password secret. You are responsible for the use of your account.
• When registering you must give us real and complete billing and contact details (name or company name, Spanish tax ID if you live in Spain, address, phone and email) and keep them up to date in “My account”; they appear on your invoices. Access keys are what let your Meshet use your balance. Treat them like passwords and do not share them. We do not store keys in readable form, so we cannot recover them; if you lose a device, deactivate its key in “My account”.
• Usage made with your keys before revocation is deemed made by you, unless you report fraudulent use and it is shown not to result from your lack of diligence.
• You can link your Meshet in one click by approving the request shown in your panel; each device gets its own key, which you can deactivate at any time.

16. Acceptable use

You may not use tokens or IA Waca 3.5 for: illegal activities; generating or spreading content that infringes third-party rights, child sexual abuse material, or content inciting hatred or violence; malware, fraud, phishing or spam; monitoring or profiling people without a legal basis; circumventing technical or billing limits; reselling access to the AI or your balance without authorisation; or attempting to extract or replicate the model. You must also comply with applicable AI rules (Regulation (EU) 2024/1689) where relevant to you.

17. Suspension and closure

We may suspend or close an account or revoke keys in case of serious breach of these terms, fraudulent use, non-payment or unjustified chargebacks, or an order from an authority. Except in urgent cases or legal requirements, we will notify you first and you may respond. If the suspension is not due to your breach, we will refund unused tokens. You can close your account at any time by emailing info@blackmambasystem.com; beforehand you may request any refund due under sections 12 and 13.

18. Liability

IA Waca 3.5 generates answers automatically that may be inaccurate or incomplete; review them before relying on them, especially for legal, medical, financial or safety decisions. To the extent permitted by law, our total liability to you for buying and using tokens is limited to the amount paid in the 12 months before the event giving rise to it, and we are not liable for indirect damage or loss of profit. Nothing above limits liability for wilful misconduct or gross negligence, or your statutory consumer rights.

19. Data protection

• What data: email and password (encrypted); billing and contact details (customer type, name or company name, tax ID or EU VAT number, address, postal code, city, province, country and phone); purchases, invoices, balance, plan and, if you buy the business license, the number of employees and license number; and a basic log of service use and security (e.g. logins).
• What for: managing your account, purchases and plan; issuing and keeping your invoices; customer support; preventing fraud and protecting the service; and notifying you of important changes (launch, price or terms changes).
• Legal basis: performance of the contract you accept, legal invoicing and accounting obligations, and our legitimate interest in service security.
• How long: while you keep your account. Afterwards, invoices and the data needed for them are kept blocked for as long as the law requires (4 years under Spanish tax law and 6 years under the Commercial Code) and then deleted.
• Who we share it with: Mollie B.V. to process payments (independent controller of payment data), our EU hosting provider as processor, and the Spanish tax agency or other authorities when required by law. We do not sell your data.
• What you write to the AI will not be used to train models without your consent.
• Your rights: you can access, correct, delete, object to, restrict or port your data by emailing info@blackmambasystem.com, and complain to the Spanish Data Protection Agency (aepd.es). Rules: Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD). More in Meshet’s privacy policy.

20. Changes to these terms

We may amend these terms for legal, technical or service reasons. We will email you at least 30 days in advance of relevant changes. Purchases already made are governed by the version accepted at purchase regarding price, presale and refund. If you do not accept the new terms, you may close your account and request a refund of unused tokens.

21. Governing law and jurisdiction

These terms are governed by Spanish law. Any dispute is submitted to the Courts of Granada (Spain), unless you are a consumer, in which case the courts of your place of residence have jurisdiction. You may also turn to Spanish consumer arbitration boards or other alternative dispute resolution bodies.
